Since the end of the 90s and under the pressure of the "corporate governance" movement, France and Italy have adopted a Corporate Governance Code to improve the organization and functioning of the board of directors of listed companies, as well as the dialogue with their shareholders, investors and stakeholders.
The application of these Codes is based on the "comply-or-explain" principle, which offers companies the possibility to give reasons for not applying one or more of the recommendations referred to in the Codes.
